Important Notice to all members of The Royal Scottish Country Dance Society – Vancouver Branch
The Board has conducted a review of the Branch’s financial statements for the last year as a result of issues raised at the Annual General Meeting with regard to the presentation of the accounts. By a unanimous vote, the Board has decided to recommend that the RSCDS Vancouver Branch change the accountants appointed at the last Annual General Meeting.
The existing by-laws (these can be found on the Board Documents Page under the About Us tab) state that the person appointed to conduct the financial review can only be appointed at an Annual General Meeting. However the Board wishes to make a change as soon as is practical. As a result, the existing by-law needs to be changed. Therefore:
Take notice that a Special General Meeting of members is being called at 7.00 p.m. on Thursday, 28th December 2017 at the Scottish Cultural Centre, 8886 Hudson Street, Vancouver (immediately prior to the Betwixt and Between Dance) to seek to pass the following resolution
“Resolved as a Special Resolution that the existing Bylaw 9.1 be cancelled and replaced with the following:
9.1 A person or firm with knowledge and familiarity of accounting is elected at a General Meeting to review the financial statements of the Branch for the current financial year. This person or firm must give a report on their review to the Annual General Meeting immediately following the end of the financial year to which the financial statements apply. If the Board decides that the person or firm is no longer appropriate, then the Board must immediately appoint a replacement.”
If approved, this resolution will come into effect once it has been filed with the Registrar of Companies of British Columbia.
